1. What is an Enterprise Registration Certificate?
An enterprise Registration Certificate means a document in paper or electronic form that records information on business registration that the Business Registration Authority grants to an enterprise;
An enterprise registration certificate is issued as a legal document recognizing the “birth” of that enterprise;
An Enterprise Registration Certificate is issued by the state agency, which is also the management agency for business registration of the enterprise, namely the Business Registration Authority under the local Department of Planning and Investment.
2. Conditions for being granted the Enterprise Registration Certificate
An enterprise shall be granted the Enterprise Registration Certificate when it fully meets the following conditions:
- The registered business lines are not banned;
- The name of the business is not misleading or confusing;
- The enterprise registration application is valid;
- The enterprise registration fees are fully paid in accordance with regulations of law on State administrative fees and charges.
3. Contents of the Enterprise Registration Certificate
- The enterprise’s name and enterprise’s code;
- Address of the head office of the enterprise;
- Full name, contact address, nationality, number of legal papers of the individual, for the legal representative of limited liability companies and joint stock companies; for general partners of a partnership company; for business owners of private enterprises. Full name, contact address, nationality, number of legal papers of the individual, for members being an individual; name, enterprise identification number and head office address of the member being an organization, for limited liability companies;
- Charter capital for companies, investment capital for private enterprises.
*Note: The information on the Enterprise Registration Certificate is valid from the date the Business Registration Authority issues the Enterprise Registration Certificate. Enterprises have the right to operate from the date of issuance of the Enterprise Registration Certificate, except for the case of conditional business lines.
4. Procedures for granting - receiving the Enterprise Registration Certificate
New legal entities, who want to establish a business must prepare all documents depending on the type of business they want to establish.
Submit and fill in the online application with soft documents via the following address: Dangkykinhdoanh.gov.vn then follow procedures at the Business Registration Authority.
- The Business Registration Authority considers the validity of the application file and then guides the enterprise to amend, issue or refuse to issue the Enterprise Registration Certificate.
