• Advised a Japanese food and beverage group and its Vietnamese subsidiaries on the settlement of a registered foreign commercial loan with a principal value of USD 3.2 million.
• Advised one of Vietnam’s leading investment and asset management firms on offshore syndicated financing for its Vietnamese subsidiary operating a five-star beachfront resort.
• Acted as legal counsel for a Korean engineering and construction developer in connection with the financing and establishment of a two-phase, 48 MW solar power project in Quang Ngai Province.
• Advised one of South Korea’s leading regional commercial banks on standard banking documentation, bank guarantees and commercial agreements in compliance with Vietnamese law.

Corporate & Mergers and Acquisitions

• Led the legal team advising a German renewable energy developer on the transfer of investment rights relating to a 15 MW wind power project in Vietnam.
• Acted as independent Vietnamese legal counsel in connection with the proposed listing of a Malaysian special purpose vehicle involving the acquisition of a Vietnamese EPC and operation and maintenance company in the solar energy sector.
• Successfully advised on the acquisition of a 100% equity interest in a major wood manufacturing company in Binh Duong Province, with a transaction value of approximately USD 2.15 million.
• Advised a Vietnamese enterprise on the cross-border acquisition of a Japanese agricultural machinery trading company.
• Acted for one of the world’s leading eye care companies in establishing and expanding its distribution network in Vietnam.
• Participated in legal due diligence, transaction structuring and antitrust filings for one of Japan’s largest listed beverage companies in connection with its strategic investment in Vietnam.
• Advised a Hong Kong-listed company on Vietnamese law matters arising from its multinational acquisition of a global construction consultancy group.
• Assisted an international investment fund in implementing an M&A and share swap transaction involving a listed Vietnamese company.
• Advised domestic and international investors across sectors including logistics, fast-moving consumer goods, healthcare, pharmaceuticals, education, manufacturing and agriculture.
• Advised an integrated agro-based business group from Malaysia on its successful participation in the auction of secured assets attached to a land area of 408,627.5 square metres in Phu Tho Province, Vietnam.

Renewable Energy

• Advised developers and investors on solar and wind power projects, including project structuring, financing, EPC arrangements, legal due diligence and regulatory compliance.
• Supported foreign investors in large-scale renewable energy acquisitions and project development across Vietnam.
• Acted as legal counsel for Technofit Sdn. Bhd., a Malaysia-incorporated company, in connection with the development of the 10 MW Hau Giang Rice Husk Power Plant Project.

Foreign Investment

• Advised a Singapore-listed company on its acquisition of a Vietnamese shipyard valued at approximately USD 10 million.
• Assisted foreign investors with market entry, investment licensing, corporate restructuring and post-investment regulatory compliance.

Real Estate & Infrastructure

• Advised on the development of two integrated urban projects in Dong Nai Province with a combined land area exceeding 800 hectares.
• Represented an international investment consortium in the exit from four industrial park, port and residential development projects with a total transaction value of approximately USD 270 million.

Advised one of the world’s leading pharmaceutical companies on the restructuring of its representative offices in Vietnam, including employment, regulatory compliance and workforce transition matters.
